These Terms and Conditions ("Terms") govern your use of the Nemec Development website and services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using the Nemec Development website and services, you accept and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our services, including our web development, mobile application development, and AI solutions.

2. Our Services

Nemec Development provides professional digital services including:

  • Custom web development and design
  • Mobile application development (iOS and Android)
  • AI solutions and integration
  • Digital marketing and consulting services
  • Website maintenance and support
  • E-commerce solutions

All services are subject to separate service agreements that will outline specific project details, timelines, deliverables, and payment terms.

3. User Responsibilities

When using our services, you agree to:

  • Provide accurate and complete information when requested
  • Respond promptly to our communications and requests for feedback
  • Provide necessary materials, content, and access in a timely manner
  • Respect intellectual property rights and confidentiality
  • Make payments according to agreed terms and schedules
  • Use our services in compliance with all applicable laws and regulations

Important: Delays in providing required materials or feedback may impact project timelines and delivery dates.

4. Payment Terms

Payment Schedule

Unless otherwise agreed in writing, our standard payment terms are:

  • 50% deposit required before project commencement
  • Remaining 50% due upon project completion and delivery
  • For larger projects, payments may be structured in milestones
  • Monthly retainer payments for ongoing maintenance services

Payment Methods

We accept payments via:

  • Bank transfer (preferred method)
  • Credit/debit cards
  • PayPal
  • Cryptocurrency (Bitcoin, Ethereum) upon request

Late Payments

Invoices are due within 14 days of issuance. Late payments may incur a 2% monthly service charge and may result in suspension of services until payment is received.

5. Intellectual Property

Client-Owned Content

You retain ownership of all content, materials, and intellectual property that you provide to us, including but not limited to text, images, logos, and brand materials.

Developed Work

Upon full payment, you will own the custom code, designs, and materials specifically created for your project. However, we retain rights to:

  • Our proprietary methodologies, frameworks, and tools
  • General knowledge and experience gained during the project
  • The right to showcase the work in our portfolio (with your permission)
  • Third-party libraries, plugins, and open-source components

Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless explicitly agreed otherwise in writing.

6. Project Scope and Changes

Scope Definition

Each project begins with a detailed scope of work that outlines deliverables, timelines, and requirements. This scope serves as the foundation for the project agreement.

Change Requests

Changes to the original scope may be requested by either party. Such changes will be documented and may result in:

  • Additional costs based on time and complexity
  • Extended project timelines
  • Revised deliverables or specifications

All scope changes must be agreed upon in writing before implementation.

7. Warranties and Support

Quality Assurance

We warrant that our services will be performed in a professional manner in accordance with industry standards. We will make reasonable efforts to correct any defects in our work at no additional charge within 30 days of delivery.

Post-Launch Support

We provide:

  • 30 days of free bug fixes and technical support after project delivery
  • Optional ongoing maintenance and support packages
  • Updates and security patches (as part of maintenance agreements)
  • Training and documentation for content management systems

Limitation of Warranties

Disclaimer: Our services are provided "as is" without warranty of any kind beyond those explicitly stated. We do not guarantee that websites or applications will be error-free or uninterrupted.

8. Limitation of Liability

To the fullest extent permitted by law, Nemec Development's liability for any damages arising from our services is limited to the amount paid by the client for the specific service that gave rise to the claim.

We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss not caused by our negligence
  • Third-party service failures or interruptions
  • Acts of God, natural disasters, or force majeure events

9. Termination

Termination by Client

You may terminate our services at any time with written notice. In such cases:

  • You are responsible for payment of all work completed to date
  • Any deposits paid are non-refundable
  • You will receive all work completed up to the termination date
  • We will provide a final invoice for any outstanding work

Termination by Nemec Development

We may terminate services immediately if:

  • Payment is more than 30 days overdue
  • You breach these Terms and Conditions
  • You fail to provide necessary materials or cooperation
  • The project becomes technically unfeasible

10. Confidentiality

We respect the confidential nature of your business information and agree to:

  • Maintain confidentiality of all proprietary information
  • Use information only for the purpose of providing our services
  • Not disclose information to third parties without your consent
  • Return or destroy confidential materials upon request

This obligation continues beyond the termination of our service agreement.

11. Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to:

  • Natural disasters, pandemics, or government actions
  • Internet service provider failures or cyber attacks
  • Third-party service interruptions
  • Labor strikes or supplier failures

12. Governing Law

These Terms and Conditions are governed by the laws of Slovakia and the European Union. Any disputes will be resolved through the courts of Bratislava, Slovakia.

We encourage clients to contact us directly to resolve any issues before pursuing legal action.

13. Changes to These Terms

We may update these Terms and Conditions from time to time. We will notify you of significant changes by:

  • Posting the updated terms on our website
  • Updating the "Last updated" date at the top of this page
  • Sending email notifications for material changes

Continued use of our services after changes indicates acceptance of the new terms.
